If you do not agree, you must immediately discontinue use of the Platform.

2. Definitions

• “BFIT” refers to Baseline Fitness, operated by Soberano Ventures, Inc.
• “User” refers to any person accessing or using the Platform
• “Content” refers to all materials available on the Platform, including text, images, videos, programs, and software
• “Services” refers to fitness-related services offered by BFIT

3. License to Use the Platform

BFIT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly for personal and lawful purposes.

You shall not:

• Copy, reproduce, or distribute any Content without permission
• Reverse engineer, modify, or create derivative works
• Use the Platform for commercial exploitation without consent

4. User Obligations

You agree to:

• Provide accurate and complete information when required
• Maintain the confidentiality of your account credentials
• Use the Platform in compliance with all applicable laws in the Philippines

You shall not:

• Engage in fraudulent, abusive, or harmful behavior
• Upload malicious code or attempt to breach security
• Use the Platform in a way that disrupts operations

5. Accounts and Registration

When creating an account:

• You are responsible for all activities under your account
• BFIT may suspend or terminate accounts for violations or suspicious activity
• BFIT reserves the right to verify your identity

6. Payments and Transactions

• All fees must be paid in accordance with agreed terms
• Payments are generally non-refundable, except as required by law or explicitly stated
• BFIT reserves the right to adjust pricing with prior notice

7. Health and Fitness Disclaimer

By using BFIT services, you acknowledge:

• Fitness activities involve inherent risks
• You are voluntarily participating and assume full responsibility
• You should consult a physician prior to engaging in any program

BFIT shall not be liable for injuries, damages, or health issues except in cases of proven negligence or willful misconduct.

8. Intellectual Property Rights

All Content on the Platform is owned by or licensed to BFIT and is protected under applicable intellectual property laws.

You may not:

• Reproduce or distribute Content
• Use trademarks, logos, or branding without written consent

9. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Notice, which explains how your personal data is collected and processed in accordance with the Data Privacy Act of 2012 (RA 10173).

BFIT does not guarantee that:

• The Platform will always be available or uninterrupted
• The Platform will be free from errors, bugs, or security vulnerabilities

The Platform is provided on an “as is” and “as available” basis.

12. Limitation of Liability

To the fullest extent permitted by law:

• BFIT shall not be liable for indirect, incidental, or consequential damages
• BFIT’s total liability, if any, shall not exceed the amount paid by you for the service in question

13. Indemnification

You agree to indemnify and hold harmless BFIT, its officers, employees, and affiliates from any claims, damages, or liabilities arising from:

• Your use of the Platform
• Your violation of this Agreement
• Your infringement of any third-party rights

14. Suspension and Termination

BFIT reserves the right to:

• Suspend or terminate access without prior notice for violations
• Remove any content that breaches these Terms

15. Force Majeure

BFIT shall not be liable for failure or delay in performance due to events beyond its control, including but not limited to natural disasters, power outages, or government actions.

16. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the Republic of the Philippines.

Any disputes shall be exclusively brought before the proper courts of Cebu City.

17. Amendments

BFIT reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

18. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

This Agreement constitutes the entire agreement between you and BFIT regarding the use of the Platform and supersedes all prior agreements.
